Chapter Constitution
ARTICLE I.  Name

The name of this organization shall be the New Jersey Chapter, Healthcare Financial
Management Association hereinafter shall be referred to as "HFMA" and the New
Jersey Chapter shall hereinafter be referred to as the Chapter.

ARTICLE II. Objectives

The objectives of the New Jersey Chapter, HFMA, shall be identical with those of
HFMA.  The HFMA is an association of individuals who are organized to improve
financial management of healthcare institutions and related healthcare organizations
and:

  1. To foster and increase knowledge of and proficiency in financial management;
  2. To conduct and participate in educational programs and activities concerning
    financial management;
  3. To provide media for the interchange of ideas and dissemination of material
    relative to financial management;
  4. To strengthen cooperation among individuals of varying disciplines into financial
    management;
  5. To develop curricula and financial management supporting material for use by
    educational institutions;
  6. To cooperate with healthcare institutions and related healthcare organizations
    and agencies in their related associations, governmental agencies, and other
    interested groups in matters pertaining to financial management;
  7. To establish and promulgate principles relative to financial management;
  8. To promote and encourage financial management standards of performance for
    individuals and institutions in the various areas of financial management;
  9. To undertake research in financial management related to these objectives.

ARTICLE III.  Membership

Membership in the Chapter shall be open to all members of HFMA who live or work in
the area set forth in the Chapter Charter.  Classes of membership within the Chapter
and qualifications for membership in those classes shall be the same as those specified
in the Bylaws of HFMA.

ARTICLE IV.  Activities

  1. The activities and programs of the Chapter shall be subject to the policies and
    procedures prescribed by HFMA through its Bylaws or actions of its Board of
    Directors.
  2. No dividends or pecuniary profits shall be declared or paid to any individual or
    entity.

ARTICLE V.  Management

The affairs of the Chapter shall be managed by the Officers and the Board of Directors
of the Chapter.  The powers and duties of the Officers and of the Board of Directors
are prescribed in the Bylaws.

ARTICLE VI.  Meetings

Meetings of the Chapter membership and of the Board of Directors shall be held in
accordance with the Bylaws.

ARTICLE VII.  Termination of the Chapter’s Existence

In the event of the dissolution of the Chapter, all assets and records of the Chapter
shall automatically become the property of HFMA and shall be forwarded to HFMA in
care of its President.

ARTICLE IX.  Bylaws

The Bylaws will be the laws of the Chapter, subject to this Constitution.

ARTICLE X.  Amendments to the Constitution

Amendments to the Constitution may be made in the following manner:

  1. Any five (5) members may submit to the President of the Chapter a written
    suggested amendment.
  2. The Board of Directors must act on the suggested amendment at its next regular
    meeting.  If two-thirds of the members of the Board vote to submit the suggested
    amendment to the membership, the suggested amendment must first be
    approved by the Board of Directors of HFMA.
  3. Once approved by HFMA, the resolution to amend the Constitution must be
    mailed to all Chapter members by the Secretary together with a ballot on which
    may be indicated approval or disapproval of the Resolution.  Such ballot must
    clearly indicate that it be returned to the address shown within thirty (30)days of
    its mailing, at which time ballots will be opened and tallied with the results being
    made immediately known to the membership.
  4. Suggested amendments must receive a two-thirds affirmative vote of the
    members voting.  Amendments to the Constitution will become effective
    immediately unless otherwise indicated in the amendment.
